TERMS & CONDITIONS — SHOWCONTROLS B.V.

Showcontrols B.V. — Uden (NL)

  1. Definitions

In these Terms:

  • Showcontrols B.V.: Showcontrols B.V., based in Uden, The Netherlands.
  • Client: the party entering into an agreement with Showcontrols B.V..
  • Services: design, pre-production, programming, show control, consultancy and technical operation.
  • Equipment: equipment supplied or rented by Showcontrols B.V., including third-party sub-rentals.
  • Project: the event, show, production or activity for which Services and/or Equipment are supplied.
  • Venue: the location where the Project is carried out.
  1. Scope

These Terms apply to all quotations, agreements, Services and Equipment supplied by Showcontrols B.V..
Deviations are only valid if agreed in writing.

  1. Quotations & Agreement

Quotations remain valid for 30 days unless stated otherwise.
An agreement becomes binding upon written confirmation by Showcontrols B.V. (including email).

  1. Services & Equipment

Showcontrols B.V. shall provide Services and/or Equipment as agreed.
Showcontrols B.V. may engage third parties and may sub-rent Equipment.
Sub-rentals may be subject to additional third-party terms.

  1. Client Obligations

The Client shall provide:

  • timely access to the Venue
  • safe and compliant power distribution
  • working environment, crew access and safety
  • catering (minimum water/soft drinks + hot meal for evening Projects)
  • parking where reasonably required
  • hotel accommodation if agreed
  1. Cancellation

In case of cancellation by the Client:

  • 30+ days before the Project: 25%
  • 30 to 7 days before: 50%
  • within 7 days: 100%

Costs already incurred (including sub-rentals, travel, design and programming) are always chargeable.
Cancellation must be made in writing.

  1. Payment

Invoices must be paid within 14 days of invoice date, without deduction or set-off.
Late payment incurs statutory commercial interest + 2%.
Collection and legal costs are borne by the Client.

  1. Intellectual Property

Showfiles, programming, presets, timecode, designs and technical data remain the property of Showcontrols B.V..
The Client receives a non-exclusive license to use such output for the agreed Project only.
Reuse or transfer to third parties requires written permission and may result in additional fees.
Showcontrols B.V. may use its work for portfolio or promotional purposes unless reasonably objected to by the Client.

  1. Equipment & Risk

Equipment remains the property of Showcontrols B.V. or its suppliers.
Risk transfers to the Client upon delivery at the Venue.
The Client shall insure such risks where reasonably possible.
Showcontrols B.V. is not liable for delays caused by Venue conditions or third parties.

  1. Working Hours & Overtime

A standard working day on site is limited to 10 hours including breaks.
Hours beyond this limit shall be billed as overtime at 150% of the agreed hourly rate.
Overtime shall be pre-approved by the Client unless caused by production or scheduling changes beyond Showcontrols B.V.’ control.

  1. Crew, Travel & Flight Conditions

Travel, accommodation and per diems shall be agreed in advance.
Where flights are required, the following standards apply:

  • flight time <4 hours: economy class
  • 4–8 hours: premium economy
  • 8 hours: business class

Flight booking shall be made in consultation with the Client, depending on production requirements.
Costs are borne by the Client unless agreed otherwise.

  1. Indemnity & Liability

The Client shall indemnify Showcontrols B.V. against third-party claims arising from the Project.
Liability of Showcontrols B.V. is limited to amounts paid under its liability insurance.
Indirect or consequential damages (including loss of profits or production delays) are excluded.

  1. Force Majeure

Showcontrols B.V. may suspend or terminate performance in case of force majeure, including but not limited to illness, strikes, transport issues, infrastructure failure or governmental restrictions, without liability.

  1. Suspension & Termination

Showcontrols B.V. may suspend or terminate the agreement in cases of non-performance by the Client or in case of bankruptcy/insolvency.

  1. Governing Law & Jurisdiction

These Terms are governed by Dutch law.
Disputes shall be submitted to the competent court in the district of Showcontrols B.V.’ registered office.
